Terms and Conditions of Service

These Terms and Conditions govern the provision of lead generation and paid advertising management services by RevRepeat. This Agreement sets out the rights and obligations of both parties and constitutes the entire legal agreement between them.

Definitions and Interpretation

In this Agreement, the following terms shall have the meanings set out below unless the context otherwise requires:

"RevRepeat"means RevRepeat, the lead generation and paid advertising management service, its founders, employees, contractors, and agents.
"Client"means the individual or business entity that has purchased a RevRepeat service package and agreed to these Terms.
"Agreement"means these Terms and Conditions together with the onboarding confirmation email, campaign approval document, and any written communications confirming the scope of services.
"Services"means the paid advertising campaign management, creative production, CRM access, and related services described in Section 3.
"Management Fee"means the monthly fee charged by RevRepeat for the provision of Services, currently £197 per month (Startup) or £297 per month (Scale Up), subject to change on notice.
"Ad Spend"means any funds paid directly by the Client to Meta Platforms Inc. for the purpose of running paid advertisements. Ad Spend is entirely separate from and in addition to the Management Fee.
"Campaign"means the paid advertising campaign created and managed by RevRepeat within the Client's Meta ad account.
"Deliverables"means the specific items of work listed in Section 3 of this Agreement.
"CRM"means the client relationship management platform provided to the Client, currently powered by GoHighLevel.
"Working Hours"means 9:00am to 5:00pm Monday to Friday, excluding UK public and bank holidays.

References to "in writing" include email and WhatsApp messages. Headings are for convenience only and shall not affect interpretation.

2.

Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement between RevRepeat and the Client. By completing payment through the RevRepeat Stripe checkout, the Client confirms that:

  • they have read and understood these Terms and Conditions in full;
  • they agree to be legally bound by this Agreement;
  • they have had the opportunity to seek independent legal advice before entering into this Agreement;
  • they understand that this Agreement supersedes all prior verbal or written communications between the parties, including advertising materials, social media posts, promotional content, and informal pre-sale conversations;
  • they understand that the contract is formed at the point of payment and that work will commence immediately upon payment being received.
Entire Agreement

This Agreement represents the complete and exclusive statement of the agreement between RevRepeat and the Client. No representations, warranties, or other terms outside of this Agreement shall be binding on RevRepeat unless confirmed in writing by a director of RevRepeat. Any claims based on verbal statements, advertising copy, social media content, or other informal communications not expressly confirmed in this Agreement shall have no legal effect.

If the Client does not agree to these Terms they must not complete payment. Completion of payment constitutes irrevocable acceptance of this Agreement.

3.

Services Provided

Subject to the Client fulfilling all obligations set out in Section 9, RevRepeat agrees to provide the following Deliverables as part of the Management Fee:

3.1 Standard Deliverables (All Packages)

  • Onboarding: provision of an onboarding form and guided setup videos to facilitate campaign preparation;
  • Market research: review of the Client's niche, competitor activity, and relevant ad performance patterns prior to campaign creation;
  • Campaign brief: preparation of an internal paid media strategy document to guide campaign production;
  • Ad creatives: production of custom Meta ad creative assets tailored to the Client's business and offer;
  • Ad copy: production of written advertising copy for use in the campaign;
  • Approval document: provision of a campaign approval document for the Client to review creatives, copy, targeting, and campaign structure prior to launch;
  • Campaign setup and launch: construction of the campaign within the Client's Meta ad account and scheduling for launch, subject to receipt of all required access and approvals;
  • Audience targeting: definition of initial targeting parameters, subject to ongoing refinement as part of the optimisation process;
  • CRM access: provision of access to the RevRepeat CRM platform for lead visibility and management;
  • Lead notifications: email and app notifications upon receipt of new leads;
  • Dedicated account manager: assignment of a named account manager as the Client's primary point of contact;
  • Ongoing optimisation: periodic review and adjustment of campaign performance following launch.

3.2 Additional Deliverables (Scale Up Package Only)

  • Landing page funnel: construction of a three-stage funnel comprising a landing page, qualifying form, and thank-you page with conversion action;
  • Pixel integration: setup of Meta pixel tracking to facilitate conversion data collection;
  • Automation sequences: setup of automated follow-up messaging sequences within the CRM platform.
Scope of Service

The Deliverables listed in this Section represent the complete scope of services included in the Management Fee. Nothing beyond what is expressly listed is included. The Management Fee covers the creation, setup, management, and optimisation of the campaign system. It does not guarantee any specific lead volume, lead quality, or commercial outcome. These matters are addressed in Section 10.

4.

Services Not Included

The following are expressly excluded from the scope of the Services and the Management Fee:

  • any guarantee of a specific number of leads per day, week, or month;
  • any guarantee that leads generated will be of a specific quality, intent level, or geographic origin beyond the agreed targeting parameters;
  • any guarantee that leads will convert into enquiries, appointments, quotations, or paying customers;
  • any guarantee of financial return, revenue generation, or return on investment;
  • funding of Meta Ad Spend, which is entirely the Client's responsibility;
  • website design or development beyond what is expressly listed in Section 3;
  • search engine optimisation, social media management, or email marketing services;
  • any services relating to the Client's own sales process, quoting, pricing, or customer management;
  • any third-party software subscriptions other than the CRM access described in Section 3.
5.

Ad Spend

  • Ad Spend is entirely separate from and in addition to the Management Fee payable to RevRepeat;
  • Ad Spend is paid directly by the Client to Meta Platforms Inc. via the Client's own Meta ad account. RevRepeat does not collect, hold, or control Ad Spend at any time;
  • the Client has full and sole control over the amount of Ad Spend at all times;
  • lead volume is directly and substantially influenced by the level of daily Ad Spend. RevRepeat makes no representation as to lead volume at any particular level of spend;
  • any lead volume figures referenced in RevRepeat's advertising or pre-sale communications represent potential outcomes dependent on a sufficient level of daily Ad Spend and are not guarantees;
  • RevRepeat is not liable for any reduction in campaign performance caused by insufficient funds in the Client's Meta ad account;
  • campaigns that pause or stop due to insufficient Ad Spend do not constitute a service failure by RevRepeat;
  • Ad Spend paid to Meta Platforms Inc. is non-refundable by RevRepeat under any circumstances as it is paid to a third party over which RevRepeat has no control.
6.

Payment Terms

  • the Management Fee is payable monthly in advance via the RevRepeat Stripe checkout;
  • payment is due on the same calendar date each month corresponding to the date of the Client's initial purchase;
  • all payments are processed automatically by Stripe. It is the Client's responsibility to ensure their payment method remains valid and funded at all times;
  • RevRepeat reserves the right to suspend Services immediately and without notice in the event of a failed or overdue payment;
  • all fees are quoted and charged in pounds sterling (GBP);
  • RevRepeat reserves the right to amend the Management Fee upon giving the Client not less than 30 days' written notice. Continued use of the Services following such notice constitutes acceptance of the revised fee.
7.

The 14-Day Money-Back Guarantee

RevRepeat offers a conditional 14-day money-back guarantee on the Management Fee, subject strictly to the eligibility conditions set out in this Section. This guarantee is conditional and not unconditional.

7.1 Eligibility Conditions

  • the Client must have maintained a minimum Meta Ad Spend of £30 per day throughout the entire 14-day period following campaign launch. Failure to maintain this level of spend for any part of the 14-day period disqualifies the Client from making a claim;
  • the Client must have completed all onboarding requirements without undue delay;
  • the claim must be submitted in writing to RevRepeat within 14 calendar days of campaign launch;
  • the Client must provide evidence that the minimum daily Ad Spend condition was met, including access to ad account spend data if requested;
  • the campaign must have been live and actively running for the full 14-day period without interruption caused by the Client.

7.2 Exclusions

  • the Client failed to maintain the minimum daily Ad Spend of £30 per day for any part of the 14-day period;
  • the campaign did not go live within 14 days due to delays caused by the Client;
  • the Client is dissatisfied with lead quality or volume where the minimum Ad Spend condition was not met;
  • the claim is made outside the 14-day window;
  • the Client has initiated a chargeback or payment dispute prior to submitting a guarantee claim.
Guarantee Condition Summary

The 14-day money-back guarantee requires a minimum of £30 per day in Meta Ad Spend throughout the full 14-day post-launch period. If this condition is not met in full, the guarantee is not triggered and no refund is owed regardless of lead volume, lead quality, or any other factor. The guarantee covers the Management Fee only and does not cover Ad Spend paid to Meta.

8.

Refund Policy

8.1 General Position

Subject to the 14-day guarantee provisions in Section 7, the Management Fee is non-refundable once RevRepeat has commenced any work on the Client's campaign. Work is deemed to have commenced upon RevRepeat beginning any of the following: market research, campaign brief preparation, creative production, account setup, or any other activity undertaken in connection with the Client's campaign.

8.2 Circumstances in Which No Refund is Owed

  • the Client is dissatisfied with lead quality, lead volume, or the commercial outcome of the campaign where the Deliverables listed in Section 3 have been provided;
  • the Client did not generate a financial return on their investment;
  • the Client failed to follow up with leads promptly;
  • the Client failed to fulfil their obligations under Section 9, causing delays or reduced performance;
  • the Client was dissatisfied with targeting parameters where the campaign was set up in accordance with the approved campaign approval document;
  • the Client changed their mind about the Services after payment;
  • the Client found an alternative provider after purchasing;
  • the Client alleges that verbal promises were made prior to purchase that are not contained within this Agreement;
  • the Client's campaign was paused due to insufficient Ad Spend;
  • the Client cancels after campaign launch, except where a pro-rated goodwill gesture is offered at RevRepeat's sole discretion under Section 8.3.

8.3 Pro-Rated Goodwill Gesture

Where the Client cancels after campaign launch, RevRepeat may at its sole and absolute discretion offer a pro-rated goodwill payment for the unused portion of the billing period. This is not a legal entitlement, does not constitute an admission of liability, and RevRepeat reserves the right to decline to make any such gesture.

8.4 Pre-Launch Refunds

Where a Client requests a refund prior to campaign launch, RevRepeat will assess the position on a case-by-case basis. Where RevRepeat has not commenced any work whatsoever, a full refund may be offered at RevRepeat's discretion. Where any work has been commenced, RevRepeat is under no obligation to provide any refund irrespective of how early in the process the cancellation request is received.

Chargebacks and Payment Disputes

If the Client initiates a chargeback or payment dispute through their bank or card provider without first attempting to resolve the matter directly with RevRepeat, RevRepeat reserves the right to contest the chargeback in full and provide all evidence of service delivery. Initiating a chargeback constitutes a material breach of this Agreement and will result in immediate suspension of all Services and CRM access, and may result in legal action to recover costs incurred by RevRepeat.

9.

Client Obligations

The performance of the Services is contingent upon the Client fulfilling the following obligations:

  • complete the RevRepeat onboarding form accurately and in full within 48 hours of receiving it following payment;
  • follow the guided setup videos to create or confirm the required Meta Business Manager, ad account, and Facebook Business Page, and grant RevRepeat the required access before production begins;
  • ensure their Meta ad account has a valid payment method and sufficient Ad Spend budget at all times during the campaign;
  • review the campaign approval document and provide written approval or specific revision requests within 48 hours of receipt;
  • attend any onboarding or strategy calls scheduled by RevRepeat within a reasonable timeframe;
  • respond to leads generated by the campaign promptly, ideally within one hour of receipt;
  • provide honest and timely feedback on lead quality and campaign performance to assist with ongoing optimisation;
  • notify RevRepeat in writing of any requested changes to targeting or campaign settings;
  • not make any changes to the campaign, ad account settings, or CRM automations without prior written consent from RevRepeat;
  • communicate with RevRepeat through the agreed WhatsApp channel during Working Hours.

Any delay, reduction in performance, or failure to generate expected results attributable to the Client's failure to fulfil any of the above obligations shall not constitute a service failure by RevRepeat and shall not give rise to any refund entitlement.

10.

No Performance Guarantee

  • RevRepeat does not guarantee that the Services will generate any specific number of leads, enquiries, appointments, or sales;
  • RevRepeat does not guarantee that leads generated will be of any particular quality, intent level, or geographic location beyond the targeting parameters applied;
  • RevRepeat does not guarantee any specific financial return, revenue, or return on ad spend;
  • paid advertising results are inherently variable and are influenced by factors outside RevRepeat's control, including the Client's daily Ad Spend, market conditions, seasonal demand, competition, Meta algorithm changes, the Client's offer and pricing, and the speed and quality of lead follow-up;
  • campaign optimisation is an ongoing and iterative process. Adjustments to targeting, creatives, copy, and audience parameters are a normal part of the service and do not constitute evidence of service failure;
  • case studies and testimonials referenced in RevRepeat's marketing represent the individual experiences of specific clients at specific Ad Spend levels and are not representative of typical results;
  • the campaign system typically requires a period of learning and optimisation, and meaningful performance is generally observed over weeks and months rather than days.
No Results Guarantee

The Management Fee is charged for the provision of the Deliverables set out in Section 3, not for the achievement of any particular commercial outcome. RevRepeat shall be deemed to have fulfilled its obligations under this Agreement upon delivery of the Deliverables, irrespective of the commercial results achieved by the Client.

11.

Limitation of Liability

  • RevRepeat's total aggregate liability shall not exceed the total Management Fee paid by the Client in the three months immediately preceding the event giving rise to the claim;
  • RevRepeat shall not be liable for any loss of profits, revenue, business, anticipated savings, data, or any indirect or consequential loss howsoever arising;
  • RevRepeat shall not be liable for any loss arising from the Client's failure to respond to leads;
  • RevRepeat shall not be liable for any loss arising from changes to Meta's platform, algorithm, policies, or pricing, including suspension of the Client's Meta ad account;
  • RevRepeat shall not be liable for any loss arising from the performance or availability of third-party platforms including Meta, GoHighLevel, or Stripe;
  • nothing in this Agreement excludes or limits RevRepeat's liability for death or personal injury caused by its negligence, fraud, or any other liability that cannot be excluded by law.
12.

Communication and Working Hours

  • RevRepeat's Working Hours are 9:00am to 5:00pm Monday to Friday, excluding UK public and bank holidays. RevRepeat is under no obligation to respond to communications outside Working Hours;
  • messages received outside Working Hours will be addressed on the next available working day. Failure to respond to such messages does not constitute a breach of this Agreement;
  • the Client's dedicated account manager is the primary point of contact. RevRepeat's founders and senior personnel are not directly available for routine day-to-day queries;
  • RevRepeat aims to respond to messages received during Working Hours within four hours. This is a target and not a contractual guarantee;
  • the primary communication channel is the agreed WhatsApp group.
13.

Intellectual Property and Asset Ownership

  • all campaign assets built within the Client's Meta ad account shall remain the Client's property throughout and after the engagement;
  • RevRepeat retains all intellectual property rights in its templates, methodologies, processes, and systems. The Client may not reproduce, copy, or resell any RevRepeat systems or processes;
  • the Client grants RevRepeat a non-exclusive licence to use the Client's brand assets solely for the purpose of creating and running the campaign;
  • the Client warrants that all materials provided to RevRepeat are owned by the Client or that the Client has the necessary rights to use them. The Client shall indemnify RevRepeat against any claims arising from Client-provided materials;
  • RevRepeat reserves the right to use anonymised performance data and general case study information for marketing purposes, provided no personally identifiable Client information is disclosed without prior written consent.
14.

Consumer Reviews and the DMCC Act 2024

Both parties acknowledge their obligations under the Digital Markets, Competition and Consumers Act 2024 (DMCC Act), in force from April 2025.

  • RevRepeat will not offer the Client any financial incentive, refund, or other benefit in exchange for removing, amending, or withholding a negative review;
  • the Client acknowledges that using the threat or withholding of a consumer review as leverage in a commercial dispute may constitute an unfair commercial practice under UK law;
  • the Client agrees not to offer to withhold, amend, or remove a review in exchange for a refund or other financial benefit;
  • any review left by the Client should reflect their genuine and honest experience of the Services;
  • RevRepeat reserves the right to report to the Competition and Markets Authority any instance in which the Client uses reviews as commercial leverage in breach of the DMCC Act 2024.
Legal Notice

Under the DMCC Act 2024, it is a prohibited unfair commercial practice to use a consumer review as a mechanism for extracting financial benefit from a trader. Any attempt by the Client to condition the withdrawal or non-publication of a negative review on receipt of a refund will be documented and may be reported to the Competition and Markets Authority.

15.

Cancellation by the Client

  • the Client may cancel at any time by providing written notice via WhatsApp or email;
  • cancellation takes effect at the end of the current monthly billing period unless RevRepeat agrees to immediate cancellation in writing;
  • no refund is owed upon cancellation, except where RevRepeat offers a pro-rated goodwill gesture at its sole discretion under Section 8.3;
  • upon cancellation, RevRepeat will cease all campaign management. All Meta ad account assets remain the Client's property;
  • CRM access will be removed within a reasonable time. The Client is responsible for exporting any data they wish to retain;
  • RevRepeat is not responsible for any loss arising from cancellation.
16.

Termination by RevRepeat

RevRepeat reserves the right to terminate this Agreement immediately and without notice in any of the following circumstances:

  • the Client fails to make payment when due;
  • the Client breaches any material term and fails to remedy that breach within seven days of written notice;
  • the Client initiates a chargeback or payment dispute;
  • the Client's conduct towards RevRepeat staff is abusive, threatening, or otherwise unacceptable;
  • the Client's Meta ad account is suspended or disabled by Meta, making delivery impossible;
  • the Client fails to provide required access within a reasonable period;
  • RevRepeat reasonably believes the Client's business or content may violate applicable laws or Meta's policies.

Upon termination in any of the above circumstances, no refund shall be owed where work has been commenced.

17.

Disputes

  • in the event of any dispute, the Client must contact RevRepeat in writing in the first instance;
  • RevRepeat will respond within five Working Days of receipt;
  • both parties agree to engage in good faith to resolve disputes informally before taking further steps;
  • if the dispute cannot be resolved within 30 days, either party may refer the matter to a recognised alternative dispute resolution provider or the courts of England and Wales;
  • the Client agrees not to initiate a chargeback as a first step. Doing so constitutes a material breach and may result in immediate termination and legal action.
18.

Entire Agreement and Amendments

This Agreement constitutes the entire agreement between RevRepeat and the Client and supersedes all prior negotiations, representations, warranties, and agreements, whether written or oral. No amendment shall be effective unless made in writing and acknowledged by both parties. RevRepeat reserves the right to update these Terms from time to time. Continued use of the Services following any update constitutes acceptance of the revised Terms. If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force.

19.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales. These Terms do not affect any statutory rights the Client may have under applicable UK consumer law that cannot be excluded by contract, including rights under the Consumer Rights Act 2015.


Acceptance of Terms

By completing payment through the RevRepeat Stripe checkout, the Client acknowledges that they have read and understood these Terms and Conditions in full and agree to be legally bound by them. These Terms take effect from the date of payment.
